Over the course of twenty five years, my practice has consisted primarily of general business representation for privately-held businesses, often serving as outside general counsel, tax and estate planning for individuals and families and commercial and residential real estate transactions. My corporate work covers a broad range of matters, including corporate formation and governance, contract drafting and review, negotiation of commercial contracts and other business transactions, business acquisitions and sales, intellectual property licensing agreements (both domestic and international), employment matters (including the preparation of employment and severance agreements), domestic intellectual property (primarily trademark) queries, bank transactions and other related business matters.
My estate planning practice covers both simple estate planning for young families and more complex planning for wealthy clients, addresses tax issues in states where the state estate tax has been decoupled from the federal estate tax, and serves non-traditional families.
I handle residential and commercial real estate matters, in support of my business and estate planning clients.
I also regularly assist nonprofit organizations with formation and operational matters, including the preparation of Form 1023 for submission to the Internal Revenue Service.
